These Terms and Conditions (“Terms”) govern your access to and use of the RallyWork website (the “Site”). The Site is operated by RallyWork Consulting, Inc. (“RallyWork,” “we,” “us,” or “our”).
By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.
1) Intended audience
The Site is intended for business users seeking information about RallyWork’s services. The Site is not offered as a consumer marketplace and is not designed for use by minors.
2) Changes to these Terms
We may update these Terms from time to time. Changes take effect when posted. Your continued use of the Site after changes are posted constitutes acceptance of the updated Terms.
3) Privacy
Our Privacy Policy explains how we collect, use, and disclose information, including through Google Analytics, LinkedIn technologies, and Calendly. The Privacy Policy is incorporated by reference into these Terms.
4) Permitted use and restrictions
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for lawful, internal business purposes.
You agree not to:
- Copy, reproduce, republish, upload, post, transmit, distribute, or exploit any Site content except as expressly permitted by us in writing.
- Reverse engineer, decompile, or attempt to extract source code from the Site (except to the extent prohibited by applicable law).
- Use scraping, harvesting, spiders, or automated methods to access the Site or collect information without our prior written permission.
- Interfere with or disrupt the Site, servers, or networks; attempt to bypass security; or introduce malware.
- Use the Site to transmit unlawful, defamatory, infringing, or otherwise harmful content.
- Misrepresent your identity or affiliation, or attempt to gain unauthorized access to any systems or accounts.
5) Intellectual property
The Site, including all text, graphics, logos, trademarks, service marks, designs, and other content (“Content”), is owned by RallyWork or its licensors and is protected by intellectual property laws.
Except for the limited license in Section 4, no rights are granted to you. “RallyWork” and associated marks are trademarks/service marks of RallyWork.
6) Your submissions (inquiries, forms, feedback)
If you submit information through the Site (e.g., contact forms, scheduling questions, or general inquiries), you represent that you have the right to provide it and that it is accurate to the best of your knowledge.
No confidential submissions: Do not send confidential or sensitive information through the Site unless and until a written agreement is in place that expressly covers confidentiality and security expectations. Any information you submit through the Site is provided at your own risk.
Feedback: If you provide suggestions or feedback about the Site or our services, you grant RallyWork a non-exclusive, worldwide, royalty-free license to use, modify, and incorporate that feedback into our operations, without restriction or compensation.
7) Third-party services and links
The Site may integrate or link to third-party services (for example, Calendly) or third-party websites. Third parties may have their own terms and privacy practices. We do not control and are not responsible for third-party services, content, or practices. Your use of third-party services is at your own discretion and subject to their terms.
8) Informational purposes; no professional advice
The Site is provided for general informational purposes only. Content on the Site may describe service approaches, examples, or outcomes in general terms, but it is not professional advice and should not be relied on as the basis for a decision without appropriate diligence.
9) Services are governed by separate agreements
Any consulting or professional services offered by RallyWork are provided only under a separate written agreement (e.g., statement of work, master services agreement, or similar). These Terms govern Site usage only and do not create a client relationship or impose service commitments.
10) Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” RALLYWORK DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Site will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
11) Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RALLYWORK WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITE OR CONTENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RALLYWORK’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SITE OR THESE TERMS WILL NOT EXCEED USD $100.
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
12) Indemnification
You agree to defend, indemnify, and hold harmless RallyWork and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from or related to: (a) your use of the Site, (b) your violation of these Terms, or (c) your violation of any law or third-party rights.
13) Suspension and termination
We may suspend or terminate access to the Site at any time, with or without notice, if we believe you have violated these Terms or if necessary to protect the Site, our users, or our business.
14) Governing law; venue
These Terms are governed by the laws of the State of Wisconsin, without regard to conflict-of-law principles.
Unless otherwise required by applicable law, you agree that any dispute arising out of or related to these Terms or the Site will be brought exclusively in the state or federal courts located in Kenosha County, Wisconsin, and you consent to personal jurisdiction and venue in those courts.
15) Miscellaneous
- Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
- No waiver: Failure to enforce any provision is not a waiver.
- Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms as part of a merger, acquisition, reorganization, or sale of assets.
- Entire agreement: These Terms (and the Privacy Policy) constitute the entire agreement regarding the Site and supersede prior understandings regarding Site access and use.
